Terms of Service

These Terms of Service ("Terms") are an agreement between you and VibeBoot ("VibeBoot", "we", "us"), the individual who operates this website. They cover your use of this website and any template or other digital product you buy from VibeBoot, such as the VibeBoot SaaS Starter (each a "Template"). By using the site or buying a Template, you agree to these Terms. If you don't agree, don't use the site or buy a Template.

1. Eligibility

You must be at least 18 years old, or the age of legal majority where you live, and able to enter into a binding contract. If you buy on behalf of a company or other organization, you confirm you have authority to accept these Terms for it, and "you" includes that organization.

2. License grant

When you buy a Template and pay in full, VibeBoot grants you a worldwide, non-exclusive, non-transferable, non-sublicensable license, for one buyer, to:

• use, copy and modify the Template to build an unlimited number of your own end products, personal or commercial;
• build end products for clients, and transfer those end products to them; and
• keep the Template and your modifications in private repositories.

An "end product" is a working application, website or service that you or your client operate, where the Template is part of the product and not the product itself.

3. Restrictions

You may not, and may not help anyone else to:

• resell, redistribute, sublicense, lease, give away or share the Template, in original or modified form, as a template, starter kit, boilerplate, theme, framework or any product whose main value is the Template's source code;
• publish the Template's source code in a public repository or otherwise make it publicly available;
• share your purchase, download links or license with others; or
• remove or misrepresent VibeBoot's ownership of the Template.

4. Intellectual property

Templates are licensed, not sold. VibeBoot keeps all rights, title and interest, including all intellectual property rights, in the Templates, this website and the VibeBoot name and logo. All rights not expressly granted in these Terms are reserved. You own the original code and content you add to build your end products. Templates may include open-source components, which are governed by their own licenses.

5. Payments

Purchases are processed by Gumroad, which acts as the merchant of record. Gumroad handles checkout, payment, applicable taxes and receipts, and Gumroad's terms apply to the transaction. Prices are shown on the product page and are a one-time payment unless stated otherwise.

6. Refunds

You may request a refund within 14 days of purchase by emailing vibeboot.hq@gmail.com or through your Gumroad receipt. Refunds are issued through Gumroad. We may deny a refund request if we reasonably believe the refund policy is being abused, for example a pattern of buying, downloading and refunding products, or repeated refund requests. When a purchase is refunded, your license ends and you must stop using and delete the Template.

7. Your responsibilities

You are solely responsible for anything you build, deploy or operate with a Template, including its security, data protection, legal and regulatory compliance (for example privacy, consumer protection, payments and tax rules), and its fitness for production use. You should review, test and secure all code before relying on it.

8. Third-party services

Templates are designed to work with third-party services and software, such as Stripe, Auth.js, GitHub, Prisma, Next.js, database and email providers, and Gumroad. Those services are not provided by VibeBoot and are governed by their own terms and policies. You are responsible for your accounts with them, any fees they charge, and following their terms. VibeBoot is not responsible for third-party services, their availability or their changes.

9. Disclaimer of warranties

The website and all Templates are provided "as is" and "as available", with all faults and without warranties of any kind. To the fullest extent permitted by law, VibeBoot disclaims all warranties, express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranties arising from course of dealing or usage of trade. VibeBoot does not warrant that any Template will be error-free, secure, uninterrupted, or compatible with future versions of the tools and services it depends on.

10. Limitation of liability

To the fullest extent permitted by law, VibeBoot will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or related to these Terms, the website or any Template, even if advised of the possibility of such damages. VibeBoot's total liability for all claims arising out of or related to these Terms, the website or any Template is limited to the amount you paid for the Template giving rise to the claim.

Some jurisdictions don't allow certain exclusions or limits, so some of the above may not apply to you, but they apply to the fullest extent allowed.

11. Indemnification

You agree to defend, indemnify and hold harmless VibeBoot from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to: your end products or anything you build or operate with a Template; your use of the website or a Template; your breach of these Terms; or your violation of any law or third-party right.

12. Termination

Your license ends automatically, without notice, if you breach these Terms. When it ends, you must stop using the Template and delete all copies. End products you already built and deployed in compliance with these Terms before termination may continue to operate. Sections 3, 4 and 7 to 17 survive termination.

13. Dispute resolution

If you have a dispute with VibeBoot, you agree to first contact us at vibeboot.hq@gmail.com with a description of the issue, and to try in good faith to resolve it informally for at least 30 days before starting any formal proceeding.

14. Governing law

These Terms are governed by the laws of the state in the United States where the owner of VibeBoot resides, and applicable US federal law, without regard to conflict-of-law rules.

15. Changes to these Terms

We may update these Terms from time to time. The date at the top shows when they last changed. Changes apply from that date. Your continued use of the website, or purchase of a Template, after a change means you accept the updated Terms. The license terms in effect when you bought a Template continue to govern that purchase.

16. General

• Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent possible and the rest remains in effect.
• Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and VibeBoot about their subject and replace any prior agreements or communications.
• No waiver. Not enforcing a provision is not a waiver of the right to enforce it later.
• Assignment. You may not transfer these Terms or your license without our written consent. VibeBoot may assign these Terms.
